01Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Sunshine Network platform, websites, and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” refers to that business.

If you do not agree to these Terms, do not use the Service.

02The Service

Sunshine Network is an all-in-one digital marketing platform for small businesses. Every plan includes the full feature set — an AI-generated, hosted website, a CRM, email and SMS marketing, PPC, social, directory sync (coming soon), reputation tools, and privacy-first analytics — all enable-able from your dashboard. Plans differ only in usage limits, not features.

We may add, change, or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality.

03Text Messaging (SMS) Terms

Where a business enables text messaging, Sunshine Network sends SMS on that business’s behalf. The program sends transactional messages (appointment and booking confirmations and reminders, order and lead notifications, and customer-care replies) and occasional promotional offers from the business you interacted with.

Consent (opt-in). You are added only after you affirmatively opt in — for example by checking a dedicated, unchecked SMS-consent box on a business’s web form (separate from submitting the form itself), by texting a keyword, or by giving your number in person alongside the disclosure below. Consent to receive text messages is not a condition of any purchase. After you opt in, we send a one-time confirmation text and you must reply YES to confirm before any further messages are sent (double opt-in). We record the date, source, and exact disclosure for each opt-in.

Message frequency & rates. Message frequency varies based on your activity with the business. Message and data rates may apply.

Opt-out & help. Reply STOP at any time to unsubscribe from a business’s messages, or HELP for assistance; you can also contact us. Opt-outs are honored automatically and immediately.

Phone numbers are never bought, sold, or shared between businesses. Mobile carriers are not liable for delayed or undelivered messages. This program is also governed by our Privacy Policy.

04Your Account and Conduct

You are responsible for the accuracy of the information you provide, for maintaining the security of your login credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

You agree not to use the Service to:

• Break the law or infringe anyone’s intellectual property or privacy rights.
• Upload malware, or attempt to breach, disrupt, or probe our systems.
• Send unlawful, deceptive, or unsolicited bulk messages.
• Misrepresent your business type or territory to gain an exclusivity you are not entitled to.
• Resell or provide the Service to third parties except as expressly permitted.

You are solely responsible for the content you publish and the messages you send through the Service, including compliance with anti-spam laws such as CAN-SPAM and TCPA.

05Territorial Exclusivity

Territorial exclusivity means that, while your subscription is active, no other Sunshine Network client of the same business type and service focus will be active in your claimed territory. Exclusivity is scoped to the specific combination of business subtype, service focus, and territory you claim, and it is enforced automatically by our system.

Exclusivity applies only to businesses on the Sunshine Network platform; it does not restrict competitors who are not our clients. If you cancel or your subscription lapses, your territory is released and becomes available to others.

06Subscriptions, Billing, and Taxes

Plans start at $99/month (Standard), with Growth ($179/month) and Premium ($299/month) tiers. You may pay monthly or annually (annual billing saves 10%). Fees are billed in advance through our payment processor, Stripe, on the recurring cycle you select, using the payment method on file. Subscriptions renew automatically until cancelled.

There is no minimum term — you may cancel anytime (see Cancellation). Fees already paid are non-refundable except where required by law, and the current billing period is not prorated on cancellation. If you chose annual billing at a discount and cancel before the year is up, the discount is recalculated: you remain responsible for the difference between the discounted rate and the standard monthly rate for the months used. Any setup, onboarding, or migration fee that was waived or discounted as part of a promotion becomes payable if you cancel within the first three (3) months. You are responsible for any applicable taxes. If a payment fails, we may retry and may suspend the Service until the balance is resolved. We will give notice before any price change takes effect.

Third-party and pass-through costs are yours. Amounts you direct us to spend or incur on your behalf — advertising budgets (Google, Meta), SMS and email usage beyond your plan, domain registration and renewal, and similar third-party charges — are your responsibility and are non-refundable. Promotional credits or free months have no cash value and are not refundable.

Where you use the Service to collect payments from your own customers, those payments are processed through your connected Stripe account and are subject to Stripe’s terms and any disclosed platform fee.

07Cancellation and Suspension

You may cancel at any time — there is no minimum commitment. Your subscription remains active through the end of the current billing period (that period is not prorated or refunded), after which it ends. On cancellation, your hosted website is taken offline and your territory is released for others.

Domain names. If we registered or manage a domain for you, you may transfer it to another provider, but any registrar or transfer fees are your responsibility — we do not front or absorb them. Domains within their registrar lock period may not be transferable until the lock expires.

You can take your content. You may export your business content (text, photos, contacts, and data) before or promptly after cancellation. After termination we handle remaining data as described in our Privacy Policy.

We may suspend or terminate your account for non-payment or for a material breach of these Terms. Where practical, we will give you an opportunity to cure a breach first.

08Intellectual Property

Your content stays yours. You retain ownership of the business content, logos, images, and data you provide. You grant us a limited license to host, process, and display that content solely to operate the Service for you — including generating your website with AI based on the details you supply.

Our platform stays ours. The Sunshine Network platform, software, templates, and brand are owned by us and protected by law. These Terms grant you a right to use the Service, not ownership of it.

Your website. The design, template, and code we build and host for you are part of our platform, not a standalone product you own. You always keep your own content (your text, photos, logo, and business data) and can export it. Handover of the built site itself is available to accounts in good standing after twelve (12) months of continuous service; before then, or in lieu of the tenure requirement, a site buyout/handover may be arranged for a fee. Cancelling does not transfer ownership of the template or build.

09Disclaimers, Liability, and Governing Law

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties and do not guarantee that the Service will be uninterrupted, error-free, or that it will produce any particular business result.

To the fullest extent permitted by law, our total liability arising out of or relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim, and neither party is liable for indirect, incidental, or consequential damages.

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws rules. We may update these Terms from time to time; material changes will be reflected in the effective date above and, where appropriate, notified to you. Questions? Contact us.
